Terms and Conditions

1.    Roots Canada Ltd. (“Roots”) is offering a customer rewards program (the “Program” or the “Roots Rewards Program”) to customers purchasing at participating Roots, roots 73 outlet and Roots Factory Outlet locations (the “Participating Store(s)”) across Canada and the United States (excluding U.S. territories and possessions).  “Points” will be awarded for purchases made at the Participating Stores, as described in more detail herein, and through offers or promotions that Roots may offer from time to time (including those set out herein), and can be redeemed for  “Rewards”, as described herein.

2. Roots may, at its sole discretion, alter, limit, or modify the Point and/or Rewards earning and redemption structure or any other feature of the Program at any time, or extend the Program, without notice. Roots may, in its sole discretion, terminate the Program at any time by providing thirty (30) days notice on roots.com and/or in Participating Stores.

3. The Roots Rewards Program will run through January 31, 2011 (“Program End Date”).  To the extent that Roots does not renew the Program or the Program is terminated, as set out herein, Points will not be awarded after the earlier of the Program End Date or termination date, and any remaining Points in a member’s Account after such date will be null and void.  

4. You can apply for membership in the Program at Participating Stores by completing and submitting an application to a sales associate. There is no fee to become a member of the Program.  As a member of the Program, you will receive a Rewards card (the “Card”) linked to an account set up in your name (the “Account”). Cards remain the property of Roots, and can be unilaterally revoked at any time in the sole discretion of Roots, with or without notification. Limit of one Account per person, and one Card per Account.

5. You can subscribe to receive Roots Insider emails at Participating Stores (or at roots.com, when available). By providing your email address and you will receive 100 bonus Points.  Existing Roots Insider subscribers who wish to join Roots Rewards must provide their email address during signup to associate this address to the Roots Rewards account to receive 100 bonus Point offer. Limit of one subscription bonus Point offer per Account.  

6. Membership is limited to individual residents of Canada and the  United States who are 13 years of age and older. If you are under the age of majority in your province/territory or state of residence, by applying for membership, you certify that you have the consent of your parent or legal guardian for participation in the Program. Corporations, groups and resellers are not eligible to become members or to earn Points or Rewards.  

7. You must present your Card when you make your purchase at a Participating Store, or you must identify yourself as a Program member and hold a valid Account in the Program database to earn Points on your purchase. Points can only be earned by, and will only be deposited to the Account associated with the Program member who makes the purchase in question. You can obtain your Point balance in a Participating Store.

8. Ten (10) Points will be awarded for every dollar you spend at a Participating Store before taxes. You will receive an additional 500 Points for the first purchase you make at any one of the Participating Stores once you become a member.

9. Upon the return of an item the Points earned from the original purchase of the item will be deducted from the member’s Account. If there are insufficient points for the entire or partial deduction amount, an equivalent value of the outstanding balance will be deducted from the refund returned to the member.

10. The value of gift cards, gift certificates, coupons, Rewards and credit notes used as methods of payment are not eligible for Point earnings. Points cannot be earned on purchases made before joining the Program. Points cannot be earned on the purchase of charitable items. Additional items may be excluded from Point accumulation at the sole discretion of Roots.

11. Once Roots launches the Program on roots.com, you will be able to earn and redeem Points in conjunction with purchases made online. Points will be earned only on the price of merchandise. Points may not be earned on shipping and handling costs and other non-merchandise items. The timing of the launch of the Program on roots.com is at the sole discretion of Roots.

12. A minimum of 24 hours after you have accumulated sufficient Points to obtain a Reward, you can redeem your Points in Participating Stores for a Reward of a discount against the purchase price of merchandise on the basis of a $5.00 discount for each 1,000 Points. Minimum purchase to redeem Points is $5.00. Redemption may only occur in increments of 1,000 Points.

13. The membership Card must be presented in order to redeem your Rewards.

14. Should any Account not earn Points for 24 consecutive months, the Account will be deemed to be inactive, and all accumulated Points may be forfeited, with or without notice, at the sole discretion of Roots.

15. To receive birthday offers, you must present proof of birth date.

16. A current valid email address is required for a member to be eligible for select bonus offers and updates. Roots must be notified of change of address via email at rootsrewards@roots.com, by calling the toll-free customer service number at 1-888-30-ROOTS (1-888-307-6687) or informing a sales associate at time of purchase.

17. To earn referral bonus points (50 Points for each referred friend who signs up for the Program), the new member must identify the original member of the Program only at time of enrollment. The original member must possess a valid Account to earn points. Roots may limit the number of referral bonus points granted to any Account at any given time.

18. Roots reserves the right to revoke the membership of any member in the Program and/or revoke any or all of the Points in an Account, if in the sole opinion of Roots, a Program member abuses any of the Program privileges, fraudulently uses the Program, fails to follow any terms or conditions or otherwise earns Points or redeems Rewards through deception, forgery and/or fraud.

19. Program Points and Cards may not be transferred, purchased, sold, assigned, auctioned or traded, including, without limitation, by death or as part of a domestic relations matter doing so will void the account. Points have no cash value and are not exchangeable for cash.

20. All active employees of Roots are not eligible to participate in the Roots Rewards Program.  For the current rules as they apply to employees, please review the employee training materials.

21. These terms and others may change from time to time. Additional program details and updates to Program (including these Terms and Conditions) can be found by visiting the Roots Rewards section on roots.com or by calling the toll-free customer service number at 1-888-30-ROOTS (1-888-307-6687).  

22. These terms and conditions shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein, and all participants attorn to the jurisdiction of the Province of Ontario.  All decisions regarding the interpretation of these terms and conditions and the administration of the Program and any disputes arising there from shall be resolved by Roots in its sole discretion.  All such decisions shall be final and binding on all Program participants.FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, ROOTS IS NOT RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, ECONOMIC, EXEMPLARY, PUNITIVE OR OTHER DAMAGES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY, DIRECTLY OR INDIRECTLY, TO YOUR PARTICIPATION IN THE PROGRAM, EVEN IF FORESEEABLE OR EVEN IF ROOTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  In no event shall the liability of Roots with respect to the Program, including liability for negligence or breach of contract, be greater than the Points accumulated to the Account at the time the dispute arose.  

23. The personal information you submit for the Program will only be used for the purposes of administering the Program, unless you expressly consent to any additional uses.
